Berkeley Lab has an opening in its Intellectual Property Office for a Licensing Analyst to support Non-Disclosure and Material Transfer Agreements. Reporting to the Licensing Manager, this position will be responsible for drafting and negotiating these agreements in accordance with the policies of the Regents of the University of California and Department of Energy, as well as for populating databases used to track Non-Disclosure and Material Transfer Agreements. What You Will Do:

  • Draft and negotiate Non-Disclosure Agreements (NDA) and Material Transfer Agreements (MTA). Specifically, for each transaction: 

    • Draft standard NDA/MTA agreements, or evaluate a proposed NDA/MTA agreement from an external party.

    • Execute NDA/MTA agreements that meet the requirements on behalf of Berkeley Lab.  

    • For agreements that do not initially meet the requirements, propose alternatives and obtain manager review and approval before finalizing the agreement.

  • Monitor and seek compliance with intellectual property contracts.             

  • Create and maintain database entries on pending and executed agreements, and provide periodic reporting information for Berkeley Lab Management, the University of California, and Department of Energy.

  • May represent Berkeley Lab on the UC-wide NDA/MTA group or other similar committees.

  • Interact diplomatically with a wide variety of scientists throughout the Laboratory, and negotiate with legal representatives and business executives at companies across the globe.


What is Required:

  • Demonstrated ability to work on licensing problems of limited scope, as well as draft and negotiate Non-Disclosure Agreements and Material Transfer Agreements. 

  • Effective writing skills, and ability to draft alternative contract provisions.

  • Strong negotiation capability.

  • Demonstrated excellent organizational skills and ability to independently manage and prioritize caseload under internal and external deadline pressures.

  • Strong interpersonal skills and proven ability to manage collaboratively and diplomatically with internal peers and colleagues, administrative support staff, scientists and engineers, senior management, in order to obtain concurrence from key stakeholders to meet predetermined goals and objectives.


Additional Desired Qualifications:

  • Bachelors’ degree with experience negotiating and drafting contracts.

  • Ability to understand the nature of often complex and typically cutting-edge proprietary scientific materials being transferred in order to evaluate relevant contract language.

  • Understanding of UC and Department of Energy policies regarding intellectual property and related matters.

  • Knowledge of enterprise resource planning software.


Notes:

  • This is a full-time career appointment, exempt (monthly paid) from overtime pay.

  • Classification will depend upon the applicant's level of skills, knowledge, and abilities.

  • This position is subject to the financial disclosure requirements of the California Political Reform Act of 1974. The successful candidate for this position will be required to file financial interest statements upon assuming this position, annually while holding this position, and when leaving this position.

  • Work will be primarily performed at Lawrence Berkeley National Lab, 1 Cyclotron Road, Berkeley, CA.
